•The Legal Council is responsible for providing expert legal services to multiple operating departments as complex legal assignments are completed. Helps analyze and solve legal problems and deal with clients and outsiders. Provides assistance and support to legal staff in gathering information, researching laws, and preparing opinions and legal documents.
•Work closely with executive management to evaluate the legal impact of major decisions where applicable law, regulations or facts of the case are unclear, controversial or conflicting.
•Write legal opinions that sometimes require extensive research of statutes, regulations or court decisions in complex areas of the law.
•Prepare defense positions engaging outside counsel as required.
•Recommend that cases be tried or settled.
•Continue usual lawyer’s functions of research, preparing legal documents, negotiating with outside parties, rendering opinions, consulting with and advising clients, and representing the company when dealing with others.
•Direct the preparation of the Legal policies and procedures in order to ensure that all relevant procedural requirements are fulfilled for minimum litigation and disputes.
•Defend and represent– or manage outsourced representation– of Company in front of different courts in all the impending or ongoing claims in order to protect Company and its employees.
•Direct litigation matters at Company , including analysis of the threats and merits of disputes and court cases, appropriate defense, prevention and strategic measures, and negotiation and approval of settlements where warranted in order to safeguard Company’s best interests.
•Develop and maintain professional relationships with key external entities such as the Central Bank, Courts, and Legal Research Firms.
•Approve Company’s standard contract templates from a legal perspective to ensure that Company’s interests are well protected.
•Approve Company’s standpoint on legal issues to ensure that the organization’s interests are well-protected.
•Approve legal research firms and lawyers to be employed by Company’s defense in lawsuits to ensure that they are eligible to safeguard Company’s interests.
•Lead the team in the preparation and review of all main business contracts between Company and outside parties in order to ensure correctness and accuracy from legal perspective.
•Perform other duties related to the job as assigned by the CEO.
•Bachelor’s degree in International Law. Qualification should be from a tier 1 university (top 100 universities worldwide or a specialized university in the required field).
•12-15 years of relevant experience.
•Minimum 5 years of experience in similar managerial role.
•Experience in the mining / natural resources industry is a plus.
•80% of time is office based and 20 % travel.
